TERMS OF SERVICE

These Terms of Service (“Terms”) are a legally binding agreement between you and the operator of the BattleTicker website and related services at battleticker.com (“BattleTicker,” “we,” “us,” or “our”). By accessing or using the Service, creating an account, starting a trial, or purchasing Commander Pro, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

These Terms are written for a small software product. They are not a substitute for advice from a licensed attorney in your jurisdiction.

[1. WHO WE ARE / THE SERVICE]

BattleTicker is a gamified market-visualization terminal. Features may include live and delayed quotes, charts, order-book views, earnings calendars, expected-move estimates, news headlines, community sentiment, directional predictions, leaderboards, optional Commander Pro modules, and email briefings. We are not a broker-dealer, investment adviser, commodity trading advisor, exchange, bank, or financial planner. We do not execute trades, hold customer funds or securities, or provide personalized investment recommendations.

[2. ELIGIBILITY]

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to create an account or purchase Commander Pro. You represent that you have authority to accept these Terms. The Service is not directed to children under 13.

[3. NO FINANCIAL, INVESTMENT, OR TRADING ADVICE]

NOTHING ON BATTLETICKER IS FINANCIAL, INVESTMENT, TAX, LEGAL, ACCOUNTING, OR TRADING ADVICE. Quotes, charts, expected moves, news, sentiment bars, predictions, streaks, leaderboards, emails, and social posts are for information and entertainment only. Markets are volatile. You can lose money. You are solely responsible for any decision to buy, sell, hold, or not trade any asset. Past performance, implied volatility, historical moves, and community votes are not guarantees of future results. We assume no fiduciary duty to you.

[4. MARKET DATA IS PROVIDED “AS IS”]

Prices, books, volume, earnings dates, estimates, and related figures come from third-party sources (including, without limitation, Binance, Coinbase, Kraken, Finnhub, Yahoo Finance, and Alpaca) and may be delayed, incomplete, halted, or wrong. WebSocket and REST connections can fail. We do not warrant accuracy, completeness, timeliness, or uninterrupted availability. Exchange and data-vendor terms apply to their data; you may not scrape, resell, or redistribute market data from the Service except as those vendors allow.

[5. ACCOUNTS, CALLSIGNS, AND CONDUCT]

Accounts are created through Clerk. You must provide accurate information and keep credentials confidential. You are responsible for activity under your account. Callsigns may not impersonate others, infringe rights, or contain unlawful or abusive content. We may reset a callsign, suspend features, or terminate access for misuse, abuse of APIs, attempts to disrupt the Service, cheating on predictions, or violation of these Terms, with or without prior notice where reasonably necessary.

[6. PREDICTIONS, STREAKS, AND LEADERBOARDS]

Directional UP/DOWN calls, streaks, and the Pro leaderboard are optional entertainment features. They are not wagers, securities, or investment products. BattleTicker does not award cash prizes, securities, or crypto from prediction outcomes. Lock windows, scoring, and rankings may change. We may correct obvious errors or void entries that appear abusive.

[7. COMMANDER PRO, TRIALS, AND AUTO-RENEWAL]

Commander Pro is a paid subscription billed through Stripe. Current founding-member list prices are shown on the pricing page and in Stripe Checkout (presently USD $4.99 per month or USD $49.99 per year, plus any applicable taxes). Prices may change; the amount you agreed to at checkout or in the Stripe portal controls until you renew at a new rate after notice.

If you are eligible, a 7-day free trial may apply. Unless you cancel before the trial ends through the Stripe customer portal, the trial converts to a paid plan and you authorize Stripe to charge the payment method on file.

Automatic renewal: Paid plans renew at the end of each monthly or yearly period at the then-current rate for that plan until you cancel. You authorize recurring charges. Stripe (or we) will provide renewal receipts as required by the payment processor. To avoid a charge, cancel at least before the renewal date via MANAGE SUBSCRIPTION on the battlefield HUD or pricing page, which opens the Stripe portal.

[8. CANCELLATION]

You may cancel at any time in the Stripe customer portal. Cancellation stops future renewals. Access typically continues through the end of the period already paid. We do not pro-rate unused time except where required by law or as we choose in writing.

[9. REFUNDS AND CHARGEBACKS]

Because Commander Pro is digital access to live data and tools that begin immediately, all purchases are final and non-refundable to the maximum extent permitted by law. If a mandatory consumer-protection law (including any non-waivable withdrawal right) requires a refund, that law controls and we will honor it.

If you believe a charge is in error, contact support@battleticker.com before disputing with your bank. Unwarranted chargebacks may result in suspension while we investigate.

[10. EMAILS AND ALERTS]

Transactional mail (receipts, security, support) is part of the Service. Commander Pro users may receive earnings briefings and session recap emails. You can cancel the subscription to stop Pro marketing/briefing mail. Transactional mail may continue while you have an account.

[11. INTELLECTUAL PROPERTY]

BattleTicker, the terminal UI, graphics, copy, and software are owned by us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial viewing. You may not copy, reverse engineer, frame, or commercially exploit the Service except as allowed by law.

[12. THIRD-PARTY SERVICES]

The Service relies on third parties including Clerk (auth), Stripe (billing), Supabase (application data), Resend (email), Vercel (hosting/analytics), optional Google AdSense, and market-data vendors. Their terms and privacy policies govern their processing. We are not responsible for third-party outages or policy changes.

[13. DISCLAIMER OF WARRANTIES]

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT DATA WILL BE ACCURATE.

[14. LIMITATION OF LIABILITY]

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BATTLETICKER AND ITS OPERATORS, OFFICERS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST TRADING GAINS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR COMMANDER PRO IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (USD $50).

Some places do not allow certain limitations. In those places, our liability is limited to the fullest extent allowed. Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for fraud or willful misconduct, or rights that consumers cannot waive).

[15. INDEMNITY]

You will defend and indemnify BattleTicker and its operators from claims, damages, and reasonable legal fees arising from your use of the Service, your trading or other financial decisions, your content (including callsigns and support messages), or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

[16. CHANGES TO THE SERVICE OR TERMS]

We may modify or discontinue features at any time. We may update these Terms by posting a new version with a revised “Last updated” date. Material changes will be indicated on this page; continued use after the effective date constitutes acceptance. If you do not agree, cancel and stop using the Service.

[17. TERMINATION]

You may stop using the Service and cancel at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we shut down the Service. Sections that by nature should survive (including 3, 4, 9, 11–15, 18–19) survive termination.

[18. GOVERNING LAW AND DISPUTES]

These Terms are governed by the laws of the United States, without regard to conflict-of-law rules. Mandatory consumer-protection laws of your state or country of residence still apply where they cannot be waived.

Before filing a claim, you agree to email support@battleticker.com with a description of the dispute and wait thirty (30) days for an informal resolution. Except where prohibited, you agree to the exclusive jurisdiction and venue of state or federal courts located in the United States, and you consent to personal jurisdiction there.

Nothing here requires you to waive the right to bring an individual claim in small-claims court if you qualify, or any right that cannot legally be waived.

[19. MISCELLANEOUS]

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale. Failure to enforce a provision is not a waiver. Headings are for convenience only. The Service is operated from the United States and may not be appropriate or available elsewhere.
